A private-equity backed oil field services company located in the energy corridor in Houston is seeking a commercial counsel to support the day-to-day operations of its business units. Responsibilities:
- Review, draft, and negotiate a variety of commercial contracts, including but not limited to master service agreements, supply agreements, joint venture agreements, licensing agreements, and confidentiality agreements.
- Provide legal guidance and support to internal stakeholders on contract-related matters, including contract interpretation, risks, and compliance.
- Collaborate with cross-functional teams, including sales, operations, finance, and procurement, to ensure contractual terms and conditions are properly communicated and implemented.
- Conduct legal research and analysis to stay up-to-date with relevant laws, regulations, and industry trends impacting the energy sector.
- Assist in the development and implementation of contract templates, standard operating procedures, and best practices to streamline contract management processes.
- Identify and mitigate legal and commercial risks associated with contract negotiations and transactions.
- Support dispute resolution and litigation matters, including managing outside counsel and representing the company’s interests in negotiations and settlement discussions.
- Maintain accurate and organized contract records and documentation.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar association.
- Minimum of 5 years of relevant experience handling contracts and/or transactions in the energy sector, preferably within the oil and gas industry.
- In-depth knowledge of contract law, commercial transactions, and applicable regulations in the energy sector.
- Proven experience in drafting, reviewing, and negotiating complex commercial contracts, with a keen attention to detail and ability to identify potential risks.
- Strong understanding of commercial and business considerations within the energy industry.
- Excellent communication and interpersonal skills, with the ability to collaborate effectively with internal stakeholders at all levels of the organization.
- Strong analytical and problem-solving abilities, with the capacity to identify and resolve legal issues efficiently.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
- Experience in dispute resolution and litigation matters related to contracts is a plus.
- Familiarity with international contracts and cross-border transactions is desirable.
- Prior experience working in-house or at a reputable law firm specializing in the energy sector is preferred.
