Fund Advisor | Counsel, International Funds

Position Summary

We are seeking an asset management attorney (at least 3 years of securities law or related experience) to be part of the team that provides legal support.

Responsibilities

  • Primary day-to-day responsibility for legal matters
  • Work closely with the firm’s global fund attorneys, investments teams, portfolio management, fund boards, the General Counsel, and global offices
  • Working with fund administration and compliance teams, dealing with day-to-day queries regarding maintenance of the funds, and legal and regulatory issues arising in respect to service providers (administrator, depositary, transfer agent) to the funds
  • Assisting in the development and launch of new fund products (both registered and unregistered), including the preparation of offering materials
  • Updating and maintaining fund offering documentation (prospectuses, offering memoranda, KIIDs) and assist with corporate and regulatory governance of the funds
  • Advising on the ongoing regulatory issues surrounding  offices and investment management and advisory activities in various markets
  • Counseling client service and sales teams regarding cross-border issues and applicable local law
  • Drafting and negotiating investment management agreements and related documentation
  • Advising on ongoing client service queries related to institutional and separate accounts
  • Interpreting, analyzing, and providing guidance on applicable law, regulations and major regulatory reforms
  • Performs related duties as assigned

This is a complex role requiring strong communication and organizational skills in addition to core legal competence. The role involves complex cross-border interactions with internal colleagues and external counterparts and is suitable for a candidate looking for a significant level of responsibility and business interaction.

Qualifications

  • Excellent academic background, J.D. from an accredited law school and admitted to practice law in at least one state.
  • At least 3 years (post qualification) of relevant experience as an attorney
  • Ability to handle multiple tasks, take on new responsibilities and prioritize work in a deadline-intensive environment

We are seeking a candidate with experience in a combination (but not necessarily all) of the following areas:

  • UCITS funds, with particular knowledge of the cross-border distribution of UCITS funds
  • Fund Board governance
  • Distribution regulation and practices
  • Registered and private pooled investment vehicles organized in various jurisdictions
  • Fund service provider contracts (administrator, custodian, depositary, securities lending agent, transfer agent, etc.)
  • Commercial contracts with distributors, intermediaries or other agents
  • Institutional investment management agreements

The Successful Candidate Should also

  • Be proactive, energetic, and pragmatic in balancing business and legal considerations
  • Have excellent communications skills, including the ability to distill and explain technical and/or complex matters to non-lawyers
  • Be able to present legal and risk issues to inform business decisions by senior management and Board members
  • Possess a strong team orientation that facilitates cooperation and teamwork across functional areas for effective problem solving
  • Possess the highest standards of ethics and integrity
